FlowRegime — Nippotica Corporation, Tokyo, Japan

1. The Service
FlowRegime is a software service that applies a statistical classification algorithm to publicly available market data and returns a derived regime label (trend, range, or chaotic) together with a confidence indicator for the BTC-USDT trading pair. Access is provided via a REST API.
The output of FlowRegime is a derived analytical signal. We do not provide, transmit, or make available any raw or near-raw market data. We do not operate a historical market data database accessible to subscribers.
2. Not Financial Advice
FlowRegime is an informational tool for software developers. Nothing in this service constitutes financial advice, investment advice, trading advice, or any other form of professional financial guidance.
Regime labels and confidence indicators produced by FlowRegime reflect the output of a statistical model. They are not predictions, recommendations, or guarantees of future market behaviour. You are solely responsible for any trading or investment decisions you make, including any decisions informed by FlowRegime output.
We strongly recommend that you consult a qualified financial professional before making any financial decisions.
3. Limitation of Liability for Trading Losses
FlowRegime output is informational and is not intended to be used as the sole basis for any trading or investment decision.
To the maximum extent permitted by applicable law, Nippotica Corporation is not liable for trading losses, investment losses, lost profits, loss of opportunity, or other consequential or indirect financial losses arising from your use of or reliance on FlowRegime output, including losses resulting from: incorrect or delayed regime labels; service interruptions or downtime; model errors, misclassifications, or regime transitions; data feed failures from third-party providers.
This limitation does not exclude liability arising from Nippotica Corporation's intentional misconduct or gross negligence.
4. Data Sources and Third-Party Disclaimer
FlowRegime uses publicly available market data as input to its internal classification algorithm. Market data is fetched by our servers and is never redistributed to subscribers.
Binance is not affiliated with, does not sponsor, and does not endorse FlowRegime or Nippotica Corporation. Binance bears no responsibility for the accuracy, timeliness, or fitness of FlowRegime output.
We are not a data vendor. FlowRegime sells access to a derived signal, not access to market data.
5. Service Availability
We aim to provide continuous service but we do not guarantee uptime, availability, or accuracy at any specific level. The service depends on third-party infrastructure outside our control.
To the maximum extent permitted by applicable law, Nippotica Corporation is not liable for loss or damage arising from service interruptions, except where liability cannot be excluded under applicable law.
6. API Keys and Account Security
Upon subscribing, you will be issued one or more API keys. You are responsible for keeping your API keys confidential. You must not share, publish, or distribute your API keys.
If you believe your API key has been compromised, contact us immediately at info@nippotica.com.
We may revoke any API key we reasonably believe has been shared, misused, or used in violation of these Terms.
Each API key is issued per subscription seat. Use of a single key across multiple independent systems or users constitutes misuse.
7. Subscriptions and Billing
7.1 Subscription Plans. FlowRegime is offered on a monthly subscription basis. Current pricing is displayed at the time of subscription.
7.2 Billing. Subscriptions are billed monthly in advance via Stripe. By subscribing, you authorise Nippotica Corporation to charge your payment method on a recurring monthly basis until you cancel.
7.3 Cancellation. You may cancel at any time via your account dashboard or by contacting info@nippotica.com. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.
7.4 Failed Payments. If a payment fails, we will retry according to Stripe's standard dunning policy. Access may be suspended if payment cannot be collected.
7.5 Price Changes. We will provide at least 30 days' notice of any price increase. Continued use after the effective date constitutes acceptance.
7.6 Subscription Disclosure (Act on Specified Commercial Transactions). In accordance with Japan's Act on Specified Commercial Transactions, full disclosure is available at: api.flowregime.nippotica.com/tokushoho
8. Acceptable Use
You agree not to: use FlowRegime in violation of applicable law; attempt to reverse-engineer or extract the underlying model; resell or redistribute access to FlowRegime output as a standalone data product; use automated means to bulk-fetch or archive regime output for redistribution; attempt to circumvent rate limits or access controls.
9. Intellectual Property
The FlowRegime algorithm, model, signal definitions, and software are the exclusive intellectual property of Nippotica Corporation. Nothing in these Terms grants any ownership interest beyond the limited right to use the API as a subscriber.
10. Disclaimer of Warranties
The service is provided "as is" and "as available" without warranty of any kind, including warranties of merchantability, fitness for a particular purpose, or accuracy. Nothing in this section excludes any warranty that cannot be excluded under applicable law.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Nippotica Corporation's total cumulative liability shall not exceed the total subscription fees paid by you in the three months preceding the event giving rise to the claim. This limitation does not apply to liability arising from intentional misconduct or gross negligence.
12. Indemnification
To the extent permitted by applicable law, you agree to indemnify Nippotica Corporation for losses arising from your intentional misconduct, negligence, violation of these Terms, or infringement of third-party rights.
13. Changes to the Service and Terms
We reserve the right to modify or discontinue the service at any time with reasonable notice. Updated Terms will be posted with a revised effective date. Continued use constitutes acceptance.
14. Governing Law and Disputes
These Terms are governed by the laws of Japan. Any dispute shall be subject to the jurisdiction of the courts of Tokyo, Japan, except where applicable consumer protection law provides otherwise.
